Distance Sales Agreement

This document sets out the distance sales terms for digital services provided to businesses under the Palmate brand. Customer-specific service scope, fees and periods are read together with the order form or service agreement accepted by the parties.

2. Buyer and service scope
The buyer is the company purchasing services for its business or professional activities and identified in the order form or service agreement. Its registered name, address, tax details and authorised contact information are collected during ordering. Purchased software, messaging, automation, support, setup and integration services, together with any usage limits, are specified in the documents accepted by the parties.
3. Ordering and contract formation
Service scope, unit prices, any fixed package or additional service fees, currency, tax treatment and contract duration are presented to the buyer before an order is accepted. The contract is formed when the parties accept the relevant order form or service agreement. Viewing this page or submitting a demo, contact or setup request does not, by itself, constitute a purchase or create a payment obligation.
4. Electronic delivery and service commencement
Palmate is a digital service; no physical goods or shipping are involved. Service begins when the user accesses the system after activation is complete. The setup schedule, required preparations and integration conditions are determined by the agreement for the purchased service.
5. Fees and payment
Usage charges are calculated at the end of the current month from actual usage, using the accepted unit prices and conditions. Payment takes place at month-end after usage. Any fixed package, setup and additional service fees are stated separately in the accepted order form or contract. Whether VAT is included is stated with the relevant price or offer; the total amount and applicable taxes are disclosed before payment. The payment method and contractual conditions agreed by the parties apply.
6. Cancellation and termination
Cancellation requests are subject to the commitment, notice and termination periods specified in the agreement between the parties. A cancellation request does not automatically remove payment obligations arising from services already provided or from the contract. The service end date and final-period charges are determined under the contract.
7. Refunds and incorrect charges
Unused message allowances are non-refundable. Claims concerning billing or collection errors are reviewed separately against the relevant usage, invoice and payment records. Other claims, including failure to provide the service or to provide it as agreed, are assessed under the contract and applicable law. Mandatory statutory rights are reserved; these provisions do not remove applicable legal rights.
8. Personal data and related documents
Information about personal data processing is set out in the Privacy Policy. The Delivery and Returns page also describes terms for these services. If a customer-specific accepted service agreement or order form differs from these general terms, the customer-specific provisions prevail, subject to mandatory law. The laws of the Republic of Türkiye apply to the agreement.
9. Requests and contact
Send billing, cancellation and refund requests to info@palmate.ai with your company name, account details, the invoice number if available, and a description of your request. Do not send card numbers, security codes or account passwords by email.
